General Terms and Conditions of Sale

1. Preamble and scope

These General Terms and Conditions of Sale (hereinafter the "GTCS") govern all sales made by SEPT TOOLS SAS, a French simplified joint-stock company with a share capital of 210,000 EUR, registered with the Roanne Trade and Companies Register under number 754 023 778, with registered office at 421 Route de la Bernarde, 42370 Saint-André-d'Apchon, France (telephone: +33 (0)4 77 60 60 74, email: adv@sept-tools.fr), hereinafter referred to as "SEPT TOOLS" or "the Seller".

The GTCS apply exclusively to professional customers (B2B relationships) and prevail over any purchasing conditions of the buyer, except where a written waiver has been expressly accepted by SEPT TOOLS. Any order implies the buyer's unconditional acceptance of these GTCS. The fact that SEPT TOOLS does not enforce a given clause at a given time shall not be construed as a waiver of its right to enforce it subsequently.

2. Orders

Orders are firm only after written acknowledgement issued by SEPT TOOLS. The Seller reserves the right to refuse any order, without indemnity, within 15 business days of its receipt, in particular in the event of a prior payment incident, product unavailability, incomplete specification or identified commercial risk.

Any modification or cancellation request by the buyer must be notified in writing; it becomes effective only after formal approval by SEPT TOOLS. Custom machines, prototypes and products manufactured to the buyer's specifications may neither be cancelled nor returned once the order has been accepted.

3. Prices

Prices are expressed in euros (EUR), excluding taxes, ex-works (EXW Incoterms 2020), unless otherwise agreed in writing. Applicable prices are those in force on the order date. SEPT TOOLS reserves the right to update its prices at any time; price increases do not apply to orders already accepted. Shipping, dedicated packaging, transport insurance and customs clearance costs remain the buyer's responsibility, except where otherwise agreed in writing.

4. Payment terms

Payment is due before delivery, by bank transfer to the account indicated by SEPT TOOLS. For custom machines and products manufactured to the buyer's specifications, a 50 % down payment is required at order, with the remaining 50 % due before dispatch.

No discount for early payment is granted, except for an early-payment discount of 0.5 % (net of tax) applicable to invoices settled within 10 days of receipt, subject to prior written agreement and explicit mention on the invoice.

5. Late payment

Critical clause. Any late payment automatically triggers, without prior notice, late-payment penalties equal to three times the legal interest rate in force, together with a flat recovery indemnity of 40 euros per invoice, in accordance with article L441-10 of the French Commercial Code. Any additional recovery costs effectively incurred are invoiced to the buyer upon justification.

Failure to pay any single invoice on its due date renders all outstanding sums immediately due, regardless of their original due date, and authorises SEPT TOOLS to suspend or terminate any pending order, without prejudice to any other remedy.

6. Transport and delivery

Goods travel at the buyer's sole risk as soon as they are handed over to the carrier, whatever the transport mode and whatever the commercial clauses agreed on transport. Delivery lead times are indicative and depend on product and carrier availability. A late delivery shall not entitle the buyer to any penalty, order cancellation or indemnity, except where otherwise agreed in writing by SEPT TOOLS.

The buyer is required to inspect the condition, nature and quantity of the parcels at receipt and to record with the carrier, at the time of delivery, any circumstantial reservations in accordance with article L133-3 of the French Commercial Code. Failing this, no claim relating to visible damage or loss shall be admissible.

7. Returns

No return is accepted without prior written authorisation from SEPT TOOLS and an assigned return number. Returned goods must travel carriage-paid, in their original packaging, together with the return note and a copy of the original invoice. Custom machines and products manufactured to the buyer's specifications are not accepted for return under any circumstances. Non-compliant returns will be refused or shipped back at the buyer's sole expense.

8. Warranty

SEPT TOOLS products are covered by a 24 months warranty from the delivery date against any defect in materials or workmanship, in accordance with article 1641 of the French Civil Code on hidden defects. The warranty is limited, at SEPT TOOLS' option, to the free replacement or repair of parts recognised as defective after return and assessment at an approved workshop, to the exclusion of any other indemnification.

Only the after-sales service approved by SEPT TOOLS SAS is authorised to intervene under warranty. Any intervention carried out by a non-approved third party automatically voids the warranty, without prejudice to other exclusions set out in these GTCS. The warranty covers design or manufacturing defects exclusively, to the exclusion of any damage arising from improper use, defective installation or unsuitable environment.

9. Warranty exclusions

The following are excluded from the warranty:

  • normal wear parts (brushes, seals, filters, abrasive discs, drill bits, brushes, wheels, belts and similar consumables);
  • damage resulting from use not compliant with technical instructions, insufficient maintenance, overloading, misuse or user negligence;
  • damage consecutive to the use of accessories, consumables or spare parts not approved by SEPT TOOLS;
  • interventions or dismantling carried out by a non-approved third party;
  • damage caused by external events: drops, impacts, immersion, exposure to corrosive substances, voltage variations outside the nominal range.

Critical clause: generator sets. The use of SEPT TOOLS machines powered by a generator set mandatorily requires a stable voltage regulator compliant with the nominal ranges stated in the user manual. Failing this, any damage related to voltage fluctuations or surges generated by the set is excluded from the warranty.

10. Decontamination (asbestos zones)

Critical clause: asbestos. Any equipment used in asbestos zones or in environments contaminated by hazardous fibres must be returned together with a release decontamination certificate issued by an accredited body, attesting the absence of residual fibres. Without this certificate, SEPT TOOLS will refuse any handling of the equipment, whether for warranty intervention, out-of-warranty repair or diagnosis.

Equipment not complying with this clause will, at SEPT TOOLS' option, be returned to the buyer at the buyer's sole expense or destroyed under applicable regulations after an unsuccessful formal notice during a 30-day period. The buyer remains liable for all associated costs.

11. Out-of-warranty repairs

Out-of-warranty repairs are subject to a prior quotation sent to the buyer after diagnosis. Written acceptance of the quotation constitutes a firm order. In case of refusal, diagnostic and return-shipment costs remain at the buyer's expense. Lead times stated on the quotation are indicative and depend on spare-parts availability.

12. Claims

Any claim concerning apparent non-conformity, quantity deficiency or visible damage upon delivery must be addressed to SEPT TOOLS in writing (adv@sept-tools.fr) within 48 hours of receipt of the goods, under penalty of inadmissibility. Claims concerning hidden defects are admissible throughout the warranty period, subject to written notification within 30 days of discovering the defect.

13. Retention of title and jurisdiction

Retention of title. SEPT TOOLS retains full ownership of the goods sold until full payment of the price in principal, accessories and taxes included, in accordance with French law no. 80-335 of 12 May 1980 and articles L624-16 et seq. of the French Commercial Code. Risk transfer occurs, however, as soon as the goods are handed over to the carrier, regardless of the transfer of ownership. In case of payment default, SEPT TOOLS may demand the immediate return of the goods at the buyer's expense.

Applicable law and jurisdiction. These GTCS are governed by French law. Any dispute relating to their formation, interpretation or execution falls under the exclusive jurisdiction of the Commercial Court of Roanne (Tribunal de Commerce de Roanne), including in cases of warranty claim, multiple defendants or summary proceedings, and by derogation from any conflicting clause appearing on the buyer's documents.
